Terms of Service

1. Services

Will Media Solutions (Pty) Ltd provides digital marketing services including paid advertising management, influencer and UGC marketing, conversion optimisation, and campaign strategy. All services are governed by a separate client service agreement signed prior to commencement.

2. Payment Terms

• 50% deposit is required upfront before any work commences — this is non-negotiable

• Balance is due at end of month 1 for monthly retainers, or on delivery for project work

• Late payment: 5% monthly interest on overdue invoices

• All pricing excludes VAT until Will Media Solutions reaches the R1,000,000 VAT registration threshold

3. Minimum Contract

All retainer packages have a 3-month minimum commitment. Early termination requires 30 days written notice after the minimum period. Deposits are non-refundable.

4. Ad Spend

Ad spend is billed separately and paid directly by the client to the advertising platform (Meta, TikTok, Google). Will Media Solutions charges a 15% management fee on top of the monthly retainer for media buying services. We are not responsible for platform policy changes, ad account suspensions, or ad spend performance beyond our control.

5. Intellectual Property

All strategy documents, campaign architectures, and creative briefs produced by Will Media Solutions remain the intellectual property of Will Media Solutions until full payment is received. Upon full payment, deliverables created specifically for the client's campaigns are assigned to the client.

6. Confidentiality

Both parties agree to keep confidential all proprietary information, business data, and strategy information shared during the engagement. This obligation survives termination of the agreement.

7. Limitation of Liability

Will Media Solutions will not be liable for indirect, incidental, or consequential damages. Our total liability is limited to the fees paid in the preceding 3-month period. We do not guarantee specific results as advertising performance depends on many factors outside our control.

8. Governing Law

These terms are governed by the laws of South Africa. Any disputes will be resolved in the courts of South Africa.
