Terms of Service

1. Services

Will Media Solutions (Pty) Ltd provides digital marketing services including paid advertising management, content and creative production, conversion optimisation, and campaign strategy. All services are governed by a separate client service agreement signed prior to commencement.

2. Payment Terms

• The once-off onboarding fee is payable on signing, before any work commences

• Balance is due at end of month 1 for monthly retainers, or on delivery for project work

• Late payment: 5% monthly interest on overdue invoices

• Will Media Solutions is not VAT registered, so no VAT is charged on any quote or invoice

3. Term and Cancellation

There is no minimum term. Monthly fees continue while campaigns run and stop after 30 days' written notice from either party. The onboarding fee is non-refundable once work has started. This does not limit any right you have under the Electronic Communications and Transactions Act; see our Legal Information page.

4. Ad Spend

Ad spend is billed separately and paid directly by the client to the advertising platform (Meta, TikTok, Google). We are not responsible for platform policy changes, ad account suspensions, or ad spend performance beyond our control.

5. Intellectual Property

All strategy documents, campaign architectures, and creative briefs produced by Will Media Solutions remain the intellectual property of Will Media Solutions until full payment is received. Upon full payment, deliverables created specifically for the client's campaigns are assigned to the client.

6. Confidentiality

Both parties agree to keep confidential all proprietary information, business data, and strategy information shared during the engagement. This obligation survives termination of the agreement.

7. Limitation of Liability

Will Media Solutions will not be liable for indirect, incidental, or consequential damages. Our total liability is limited to the fees paid in the preceding 3-month period. We do not guarantee specific results as advertising performance depends on many factors outside our control.

8. Governing Law

These terms are governed by the laws of South Africa. Any disputes will be resolved in the courts of South Africa.
